Official Rules

Important: Please read these Official Rules before participating. By participating in this Sweepstakes, Entrants agree to be bound by these Official Rules and Entrants represent that they satisfy all of the eligibility requirements below. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.  MAKING A PURCHASE DOES NOT INCREASE CHANCES OF WINNING.  VOID WHERE PROHIBITED OR RESTRICTED.

1. 1. 1. 1. SWEEPSTAKES DESCRIPTION: The KING’S HAWAIIAN Slider Sunday Million Dollar Showdown Sweepstakes (the “Sweepstakes”) begins on Monday, September 5, 2022 at 12:00:01 am Eastern Time (“ET“) and ends on Sunday, February 12, 2023 at 11:59:59 am ET (“Sweepstakes Period“). The Sweepstakes Period is comprised of twenty-two (22) separate entry periods (each, an “Entry Period”), as set forth in Rule 4 below. Additionally, the “Grand Prize Entry Period” begins on Monday, September 5, 2022 at 12:00:01 am Eastern Time (“ET“) and ends on Saturday January 1, 2023 at 11:59:59 pm ET.  The sponsor of this Sweepstakes is KING’S HAWAIIAN Bakery West, Inc., 19161 Harborgate Way, Torrance, CA 90501 (“Sponsor”). The administrator of this Sweepstakes is The Wilson Group, 10555 Newkirk Street, Suite 500, Dallas, TX 75220 (“Administrator”). The Sponsor and Administrator shall collectively be referred to as the “Sweepstakes Entities”.
         2. ELIGIBILITY: Sweepstakes is open only to legal U.S. residents residing in the fifty (50) United States or the District of Columbia who are at least eighteen (18) years of age at time of entry and who meet all other requirements in these Official Rules (each an “Entrant”). If Entrant is less than the legal age of majority in their state of residence (a “Minor”), one of Entrant’s parents or legal guardians must agree, prior to receipt of any prize by such Minor Entrant, that they have read, understood, and agreed to the Official Rules, and that such agreement constitutes acceptance of these Official Rules on behalf of such Minor Entrant and themselves. Employees, officers, directors, representatives, contractors and agents of Sweepstakes Entities and their respective owners, parents, subsidiaries, retailers, affiliates, advertising and promotion agencies, and any companies involved in the implementation and execution of the Sweepstakes and each of their Immediate Family Members and Household Members are not eligible to enter or win. For purposes of the Sweepstakes, “Household Members” shall mean those people who share the same residence at least three months a year, whether or not related; “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. Sweepstakes is void where restricted or prohibited by law.
         3. HOW TO ENTER: To earn entries and participate in the Sweepstakes, Entrants must first sign up for a free Sweepstakes account (“Sweepstakes Account“) during the Sweepstakes Period.  This can be done by following the onscreen instructions at www.KingsHawaiianShowdown.com (the “Website”).   Instructions for sign-up are stated below.  In addition to signing up for a Sweepstakes Account, there are nine (9) additional ways to earn entries in the Sweepstakes during the Sweepstakes Period.

      1.)  Sweepstakes Account Sign Up:  Visit the Website and follow the onscreen instructions to sign up for a Sweepstakes Account to participate in the Sweepstakes. Limit one (1) Sweepstakes Account per person.  Signing up for a Sweepstakes Account requires submission of an Entrant’s email address.  Each Entrant is limited to a single Sweepstakes Account using one (1) email address.  Creating multiple Sweepstakes Accounts using different email addresses will void all Sweepstakes Accounts of that person and all entries by that person.  By signing up, you will automatically earn seven (7) entries into the Sweepstakes.  Signing up is free.  Data rates may apply if accessing the Website via a mobile device.  Limit seven (7) total Sweepstakes entries per person for Sweepstakes Account Sign Up.  For entries based upon signing up for a Sweepstakes Account to be eligible for the Grand Prize drawing, an Entrant must sign up for a Sweepstakes Account before 11:59:59 ET on January 1, 2023.

      2.)  Slider Matchup Vote:  During Each Entry Period, the Website will showcase two (2) different slider recipes and the slider sandwiches made from those recipes (each pair of sliders is referred to herein as a “Slider Matchup”).  During each Entry Period, Entrants will be able to vote for their favorite slider from the Slider Matchup for the Entry Period.  To vote, click on the “Vote” button on the Website after logging into your Sweepstakes Account.  Voting for your favorite slider from each round’s Slider Matchup will count as one (1) entry into the Entry Period drawing corresponding to the date on which your vote is cast and one (1) entry into the Grand Prize drawing if you cast your vote before 11:59:59 ET on January 1^st, 2023.   Limit one (1) vote per person per day.  Entrant must register for a Sweepstakes Account to cast a vote and for an entry to be earned.

      3.) Streak Voting: By voting in the Slider Matchup during two (2) consecutive Entry Periods, Entrant will be awarded two (2) additional entries.  The two (2) entries will count in the Entry Period corresponding to the date on which the vote is cast in the second consecutive Entry Period and into the Grand Prize drawing if earned during the Grand Prize Entry Period.   Up to forty-two (42) additional entries can be earned by consecutively voting during the 22 Entry Periods.

      4.) Selecting Each Entry Period’s Slider Matchup Winner: For each Entry Period in which an Entrant selects the winning slider from that Entry Period’s Slider Matchup (based on all votes cast in the Slider Matchup), Entrant will be awarded three (3) additional entries into that corresponding Entry Period drawing and into the Grand Prize drawing if an Entrant selects the winning slider in any Slider Matchup before 11:59:59 ET on January 1, 2023.  The winning slider in any Slider Matchup will be determined by the slider that receives the most votes by the end of the Entry Period in which the Slider Matchup is presented.

      5.) Games:  Follow the Website’s onscreen instructions to play games.  Two (2) games will be offered to play (Flick Football or Wordler).  For each game played each day, Entrants can earn one (1) entry into the Entry Period drawing corresponding to the date on which the game is played and one (1) entry into the Grand Prize drawing if the game is played before 11:59:59 ET on January 1, 2023. Points earned within the game have no effect on the entries earned. There is a limit of one (1) entry per game per day.

      6.) Fan Zone: Visit the Fan Zone on the Website and submit Proof of Purchase or Submit a Photo Showing How You Slider Sunday:  Purchase a King’s Hawaiian participating product and submit your receipt online by taking a picture of the receipt and submitting under the “Submit your photo” button on the Website.  OR, take a photo of yourself showing how you Slider Sunday and upload your photo to the Website. There is a limit of either one proof of purchase submission or one photo submission per day.  One submission per day will earn one (1) entry into the Entry Period drawing corresponding to the date on which the proof of purchase or photo is submitted and one (1) entry into the Grand Prize drawing if the submission is made before 11:59:59 ET on January 1, 2023.   The eligible King’s Hawaiian participating products are identified on the Website.  The methods by which you can “show how you Slider Sunday” are explained on the Website.

      7.) View Recipe: Visit the Slider Roster sections on the Website to see, print, and share recipes. There is a limit of earning one (1) entry, one time during the Sweepstakes, which will allow one (1) entry into the Entry Period drawing corresponding to the date on which the visit, printing and sharing of recipes occurs and one (1) entry into the Grand Prize drawing if such activity is completed before 11:59:59 ET on January 1, 2023.  Instructions for submitting proof of seeing, printing and sharing recipes are contained in the Website.

      8.) View Guy Fieri’s Coaches Corner:  Visit the Coaches Corner on the Website and look at Guy Fieri’s Recipes: There is a limit of earning one (1) entry, one time during the Sweepstakes, which will allow one (1) entry into the Entry Period drawing corresponding to the date on which the visit occurs and one (1) entry into the Grand Prize drawing if such activity is completed before 11:59:59 ET on January 1, 2023.  Instructions for submitting proof of visiting the Coaches Corner and viewing Guy Fieri’s Recipes are contained in the Website.

      9.) View Influencer’s Coaches Corner: Visit the Coaches Corner and look at the Influencer’s Content: There is a limit of earning one (1) entry, per day, which will allow one (1) entry into the Entry Period drawing corresponding to the date on which the visit occurs and one (1) entry into the Grand Prize drawing if such activity is completed before 11:59:59 ET on January 1, 2023. Instructions for submitting proof of visiting the Coaches Corner and viewing the Influencer’s Content are contained in the Website.

      10.) Progress Bar: Once an Entrant has completed all the activities listed below, the progress bar on the Website will cover 100 yards and award twenty-one (21) entries just one time , which will count as twenty-one (21) entries into the Entry Period drawing corresponding to the date on which the progress bar covers the 100 yards and twenty-one (21) entries into the Grand Prize drawing if achieving 100 yards on the progress bar is completed before 11:59:59 ET on January 1, 2023.

      For purposes of these Official Rules, a ‘day’ is defined as any consecutive twenty-four (24) hour period beginning at 12:00:01 a.m. ET and ending at 11:59:59 p.m. ET. MAXIMUM OF SIXTY-SIX (66) ENTRIES CAN BE EARNED PER DAY.  LIMIT ONE THOUSAND SEVEN HUNDRED AND SEVENTY SEVEN (1,777) ENTRIES CAN BE EARNED PER PERSON/SWEEPSTAKES ACCOUNT.

      Entrants must fully and accurately complete the registration process for a Sweepstakes Account to participate and Entrants must be signed into their Sweepstakes Account to earn additional entries. All entries must be received with the Sweepstakes Period. The Entrant must be the authorized account holder of the registered Sweepstakes Account. In the event of a dispute over the identity of an Entrant or potential winner in the Sweepstakes, the Entrant or potential winner will be deemed the authorized account holder of the email address associated with the Sweepstakes Account. “Authorized Account Holder” is defined as the natural person in whose name the e-mail account was opened, as long as such person is otherwise eligible in accordance with these Official Rules. In the event a dispute regarding the identity of an Entrant or potential winner cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.  Entries will not be acknowledged except as provided herein.

       Any attempt to gain entries and/or create Sweepstakes Accounts in excess of the per person limits may result in disqualification of the Entrant.  Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different identities, registrations, logins, and/or any other methods will void such Entrant’s entries and that Entrant may be disqualified from the Sweepstakes. Entries generated by a macro, script or other automated means will be disqualified. Each Entrant must be the rightful owner (or have authorized use) of the email address used for entry.  All entries become the sole property of Sponsor. ELIGIBLE ENTRANTS MUST SUBMIT THE REQUESTED ENTRY INFORMATION IN ACCORDANCE WITH THESE OFFICIAL RULES. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED.  Participation in the Sweepstakes constitutes Entrant’s understanding of and full and unconditional agreement to and acceptance of these Official Rules. Sponsor reserves the right to disqualify any Entrant that Sponsor determines to be in violation of any term contained in these Official Rules.

       

      4. WINNER SELECTION AND NOTIFICATION:

       Selection of Entry Period Winners

       On or about each Draw Date set forth in the table below, Administrator will conduct a random drawing from all eligible entries received during the corresponding Entry Period to select the number of potential winners listed in the table below.  Non-winning Entry Period entries will rollover into any subsequent Entry Period prize drawings.

      Potential Entry Period winner(s) will be notified by email within approximately two (2) business days of the Draw Date listed above for the corresponding Entry Period.  The prize notification message will provide prize claim instructions that include the requirement that the selected potential winner respond to the prize claim message within two (2) business days of the date the prize notification message was sent.  If a potential winner fails to respond within that time frame, the prize will be forfeited, and an alternate will be selected by a random drawing from all other eligible entries received during the applicable Entry Period.

      Except where prohibited, the First Prize and Second Prize potential winners will be required to sign and return an Affidavit of Eligibility and Liability and Publicity Release, which must be received by Administrator within five (5) days of the date notice or attempted notice is sent, in order to claim his/her prize. If any potential winner cannot be contacted, fails to sign and return the Affidavit of Eligibility and Liability and Publicity Release or provide any other requested information within the required time period (if applicable), does not comply with these Official Rules, or prize is returned as undeliverable, the potential winner shall forfeit the prize and a new winner will be randomly selected. The potential First Prize and Second Prize Winners will be required to confirm their eligibility and provide their address.  Failure to comply when requested may result in disqualification and award of prize to an alternate winner. If any prize or prize notification is returned as undeliverable, Sponsor is unable to contact a potential winner, or a potential winner is not in compliance with these Official Rules, the prize will be forfeited, and an alternate potential prize winner will be selected.  Prizes will be fulfilled 6 – 8 weeks after confirmation of the winner(s). Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, and/or prize information in connection with the Sweepstakes for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.

      Selection of Grand Prize Semi-Finalists and Grand Prize Winner

      On or about January 5, 2023, Administrator will conduct a random drawing from among all eligible entries received during the Grand Prize Entry Period to select five (5) Grand Prize Semi-Finalists.  The Grand Prize (described in greater detail below) includes admittance to a credentialed area at the professional football championship game in Glendale Arizona currently scheduled to take place on February 12, 2023 (the “Big Game”).  Because the Big Game is classified as a level one National Security Event, all persons admitted to a credentialed area must pass a background check administered by those controlling admission to the Big Game (the “Big Game Background Check”).  The Sponsor will conduct a preliminary background check (the “Screening Background Check”) on all Semi-Finalists to screen out Semi-Finalists who the Sponsor determines are not likely to pass the Big Game Background Check.  All Semi-Finalists must return documents and information requested by Sponsor to enable Sponsor to conduct the Screening Background Check.  Based on the information and documents provided to Sponsor for purposes of the Screening Background Check, Sponsor shall have the right to disqualify any potential Grand Prize Semi-Finalist winner who Sponsor determines is not likely to pass the Big Game Background Check.  Factors that would result in disqualification as a Grand Prize Semi-Finalist include, without limitation, having been charged with or convicted of a felony or misdemeanor, DWI, being delinquent on a government ordered payment (such as child support, spousal support, or alimony), or being delinquent in tax payments.  Other factors may also be considered in a determination by Sponsor to disqualify a Semi-Finalist. All decisions made by Sponsor, in its sole judgment, to disqualify a potential winner shall be final and binding, and not subject to further review.  Potential winners should understand that passing the Screening Background Check will not necessarily guarantee that any potential winner will pass the Big Game Background Check, which will be separately administered.

      The Grand Prize winner will be selected by a random drawing on or about January 13, 2023 from among the Semi-Finalists who have passed the Screening Background Check.  The Grand Prize winner selected will be entitled to the Grand Prize (as described below) and not a Semi-Finalist Prize (also described below).

      Semi-Finalists will be notified by email within approximately two (2) business days after the Grand Prize drawing date described above.  The prize notification message will provide prize claim instructions that include the requirement that the selected potential winner respond to the prize claim message within two (2) business days of the date the prize notification message was sent.  If a potential winner fails to respond within that time frame, the prize will be forfeited, and an alternate will be selected by a random drawing from all other eligible entries received during the Grand Prize Entry Period.  Except where prohibited, the Grand Prize potential winners will be required to sign and return an Affidavit of Eligibility and Liability and Publicity Release, which must be received by Administrator within five (5) days of the date notice or attempted notice is sent, in order to claim his/her prize. If any prize or prize notification is returned as undeliverable, Sponsor is unable to contact a potential winner, or a potential winner is not in compliance with these Official Rules, the prize will be forfeited, and an alternate potential prize winner will be selected.  The Grand Prize and Semi-Finalist Prizes will be fulfilled within 4 weeks after confirmation of winners. Acceptance of the Grand Prize and any Semi-Finalist Prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, and/or prize information in connection with the Sweepstakes for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.

   2. 5. ODDS OF WINNING: Odds of winning a First, Second or Third prize depend on the total number of eligible entries received as of the end of the corresponding Entry Period. Odds of winning a Grand Prize or a Semi-Finalist Prize depend on the number of entries submitted throughout the Grand Prize Entry Period.
      6. PRIZES: ONE (1) GRAND PRIZE: A trip to the Big Game in Glendale Arizona currently scheduled to take place on February 12, 2023 for winner and up to three (3) guests, and One Million Dollars ($1,000,000) awarded as an electronic check to the Grand Prize winner.  Trip consists of: Four (4) admission tickets to the Big Game (location/level to be determined by Sponsor); round-trip coach class air transportation for the winner and three(3) adult guests (who are at least the age of majority in their state of residence) from a major commercial airport near the winner’s home to Phoenix, AZ (airports determined by Sponsor; if Grand Prize winner resides within two hundred fifty (250) miles of Glendale, AZ, Sponsor may provide ground transportation in lieu of air transportation);  ground transportation in Glendale, AZ between the hotel and airport; three (3) nights’ hotel accommodations in the form of two (2) standard rooms, double-occupancy (hotel to be determined solely by Sponsor) (room and tax only); and four(4) $500 prepaid debit cards.  Total ARV (Approximate Retail Value) of Grand Prize:  $1,030,000.  Grand Prize Provisions:  Guests of Grand Prize winner must return documents and information requested by Sponsor to enable Sponsor to conduct Screening Background Checks on each guest and all such guests must pass the Screening Background Check as well as the Big Game Background Check to attend the Big Game.  Potential guests understand that Sponsor reserves the right to disqualify any potential guest based on the results of their background check based on the same factors that would result in disqualification of a potential Grand Prize winner.  If any potential guest does not pass either the Screening Background Check or the Big Game Background Check, the Grand Prize winner will be allowed (if time permits) to name alternative potential guests who will be subject to the same requirement to pass the Screening Background Check and the Big Game Background Check.  The Grand Prize winner and guests must be able to travel on the dates specified by Sponsor; no alternate travel dates are available. Grand Prize winner and guests must travel together on the same itinerary; travel must originate and terminate at the same airport/location. The Grand Prize winner and guests must comply with all applicable venue rules and regulations (including, but not limited to the Big Game Background Check), or the Grand Prize may be forfeited.  If the winner elects to travel or partake in the Grand Prize without guests, no additional compensation will be awarded to the winner. The actual value of the trip may vary depending on point of departure and fluctuations in the cost of air transportation. Any difference between the estimated ARV and the actual value of the prize will not be awarded. Grand Prize winner and guests are responsible for having valid travel documents including government identification and/or passports. Grand Prize winner is responsible for all travel expenses not included herein, including airline baggage fees, gratuities, meals, and any other incidental costs or expenses related to participation in this prize. Gift/debit cards are subject to terms and conditions established by the issuer and communicated at time of prize award and are not redeemable for cash.  Guests of the Grand Prize winner must sign and return a Publicity and Liability Release before travel will be booked.  Without limiting the generality of the foregoing provisions, those who appear on camera at the Big Game event must pass the Screening Background Check and Big Game Background Check.  The Grand Prize winner and his or her guests hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for any part of the trip. Winner will be required to provide a major credit card upon hotel check-in, and all in-room charges will be charged to the credit card. Any damage to the room will be the responsibility of the winner.  Sponsor bears no responsibility if any event, element, or detail of a prize is canceled, postponed, or becomes unavailable for any reason. Should any event, element or detail of the prize become unavailable, the Sponsor shall have no obligation to the winner aside from providing the remaining portion of the prize, minus any unavailable event, element, or detail. Sponsor is not responsible if event is delayed, postponed, or canceled for any reason. Winner will not receive compensation from Sponsor for tickets that the winner is unable to use due to loss, damage, destruction (and such will not be replaced), or to delay or cancellation of the event, but tickets may be subject to standard rain-check policies and procedures set by the issuer. Winner agrees that event admission is awarded pursuant to a revocable, nontransferable license that is personal to that applicable winner, and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed. Sponsor reserves the right to remove or to deny entry to the Grand Prize winner and/or his/her guests if either the Grand Prize winner or his/her guests violates the previous restrictions or engages in a disruptive behavior, or with intent to abuse, threaten or harass any other person or cause damage to or property loss at the event. FOUR (4) SEMI-FINALIST PRIZES:  each a $2,000 cash prize awarded as a check to each Semi-Finalist Winner.  Each Semi-Finalist prize will also include a Sponsor branded Slider Sunday Big Game Swag pack.  ARV of each Semi-Finalist Prize:  $2,060.ONE (1) FIRST PRIZE:  a $2,500 cash prize awarded as a check to the First Prize winner.  The First Prize will also include a Sponsor branded Slider Sunday Big Game Swag pack.  ARV of the First Prize:  $2,560. THREE (3) SECOND PRIZES:  each a $1,000 cash prize awarded as a check to each Second Prize winner.  Each Second Prize will also include a Sponsor branded Slider Sunday Big Game Swag pack.  ARV of each Second Prize:  $1,060. EIGHTEEN (18) THIRD PRIZES:  each a $500 cash prize awarded as a check to each Third Prize winner.  Each Third Prize will also include a Sponsor branded Slider Sunday Big Game Swag pack.  ARV of each Third Prize:  $560.Total ARV of all prizes combined:  $1,054,060.Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Winners are responsible for all taxes on the prize.  Limit one (1) First, Second or Third prize per person, during the entire Sweepstakes Period.General Prize Provisions:  Winners cannot assign or transfer their prize claims to another person. No cash alternatives or prize substitution is allowed except at the discretion of the Sweepstakes Entities. If a prize cannot be awarded due to circumstances beyond the control of the Sweepstakes Entities, a substitute prize of equal or greater retail value may be awarded.  The ARV is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. If the actual value of a prize is less than the ARV stated herein, the winner will not be entitled to a check, cash or other form of payment for the price difference. Other restrictions may apply.  Any depictions of prizes are for illustrative purposes only. ALL FEDERAL, STATE AND LOCAL TAXES, AND ANY OTHER COSTS AND EXPENSES, ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER.  An Internal Revenue Service Form 1099 will be issued and filed for the actual value of the prize received for winners of prizes valued at $600 or more.  Such recipients must submit their social security number as required by law.  Except for applicable manufacturer’s standard warranties, the prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including any implied warranty of merchantability or fitness for a particular purpose). 
         7. DISCLAIMER: Sweepstakes Entities and each of their respective parent companies, subsidiaries, franchisees, affiliates, directors, officers, professional advisors, consultants, contractors, legal counsel, public relations firms, employees and advertising, fulfillment and marketing agencies (collectively, the “Released Parties“) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) phone, electronic, hardware, software, network, internet, or other computer or communications-related malfunctions or failures beyond Sponsor or the Released Parties’ reasonable control; (c) any Sweepstakes disruptions, injuries, losses or damages caused by events beyond the reasonable control of Sponsor or the Released Parties; or (d) any printing, programming or typographical errors in any materials associated with the Sweepstakes.

          

         8. LIMITATIONS OF LIABILITY AND RELEASES:By participating in the Sweepstakes, each Entrant (and if an Entrant is a Minor, the Minor Entrant’s parent or legal guardian) release the Sweepstakes Entities and all Released Parties from any and all liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Sweepstakes or delivery, mis-delivery, acceptance, possession, use of or inability to use any prize (including claims, costs, injuries, losses and damages related to rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. EACH ENTRANT AGREES (AND IF AN ENTRANT IS A MINOR, HIS OR HER PARENT OR LEGAL GUARDIAN AGREES) TO INDEMNIFY AND HOLD HARMLESS EACH OF THE RELEASED PARTIES FROM ANY CLAIMS, COSTS, INJURIES, LOSSES, OR DAMAGES DESCRIBED IN THE PRECEDING SENTENCE WHICH MAY BE SUFFERED BY THE ENTRANT. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SPONSOR OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO PARTICIPATION IN THE SWEEPSTAKES OR USE OR INABILITY TO USE ANY WEBSITE, ONLINE MECHANISM AND/OR PERSONAL PROPERTY PROVIDED FOR USE IN THE SWEEPSTAKES OR ANY PRIZE, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES (JOINTLY) ARISING OUT OF OR RELATING TO PARTICIPATION IN THE SWEEPSTAKES OR USE OF OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE SWEEPSTAKES OR ANY PRIZE EXCEED $10. THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT EXCLUDE OR LIMIT LIABILITY FOR PERSONAL INJURY OR PROPERTY DAMAGE CAUSED BY PRODUCTS BOUGHT OR RENTED FROM THE SPONSOR, OR FOR THE RELEASED PARTIES’ GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR FOR FRAUD.

          

         9. USE OF WINNER’S NAME AND LIKENESS: To the fullest extent permitted by applicable law, participation into the Sweepstakes constitutes Entrant’s permission (or if an Entrant is a Minor, the Minor’s parent’s or legal guardian’s permission) to use Entrant’s name, hometown, aural and visual likeness and prize information for advertising, marketing, and promotional purposes without further permission or compensation (including in a public-facing winner list). As a condition of being awarded any prize, except where prohibited by law, a winner (or if a winner is a Minor, the Minor’s parent or legal guardian) may be required to execute a consent to the use of their name, hometown, aural and visual likeness and prize information for advertising, marketing, and promotional purposes without further permission or compensation. By participating in the Sweepstakes, Entrant (or if a Minor, Entrant’s parent or legal guardian) consents to being contacted by Sponsor for any purpose in connection with this Sweepstakes.

          

         10. DISPUTES:These Official Rules are governed by the laws of the State of California, U.S.A., without regard to California conflict of law provisions. By participating in the Sweepstakes, each Entrant irrevocably agrees that all disputes arising out of or relating to the Sweepstakes shall be resolved by final and binding arbitration administered by JAMS in accordance with its arbitration rules and procedures or subsequent versions thereof (“JAMS Rules“). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be experienced and licensed to practice law in California. All proceedings brought pursuant to this Section 10 will be conducted in the County of Los Angeles, State of California. The remedy for any claim shall be limited to actual damages and in no event shall any party be entitled to seek to rescind these Official Rules. Any demand for arbitration against Sponsor or other Released Parties must be commenced within two year(s) after the claim arose. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. Each party shall be responsible for its costs incurred in such arbitration, but if Entrant cannot afford to pay for the arbitration Entrant agrees to provide Sponsor the option of paying the arbitrator before seeking to initiate any other form of dispute resolution, including litigation. Judgment on an arbitration award may be entered into any court having jurisdiction thereof. The award of the arbitrator shall be final and binding upon the parties without appeal or review. Notwithstanding the foregoing, Sponsor may immediately seek any interim or preliminary injunctive relief from any court of competent jurisdiction, as necessary to protect its rights or property (including intellectual property rights).
         11. GENERAL CONDITIONS: Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to change these Official Rules at any time, in its discretion, and to suspend or cancel the Sweepstakes or any Entrant’s participation in the Sweepstakes should viruses, bugs, unauthorized human intervention or other causes beyond Sponsor’s reasonable control affect the administration, security or proper participation in the Sweepstakes, or Sponsor otherwise becomes (in its sole discretion) incapable of running the Sweepstakes as planned. Entrants who violate these Official Rules, violate any law, rule or regulation in connection with participation in the Sweepstakes, tamper with the operation of the Sweepstakes or engage in any conduct that is detrimental or unfair to Sponsor, the Sweepstakes or any other Entrant (as determined in Sponsor’s sole discretion) are subject to disqualification. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to participate in the Sweepstakes. Sponsor reserves the right to disqualify any entries received that contain inappropriate or offensive content. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect. The use of the terms “include” or “including” in these Official Rules is illustrative and not limiting.
         12. PRIVACY:The information provided by Entrants will only be used as provided in Sponsor’s privacy policy or these Official Rules. See Sponsor’s privacy policy at https://kingshawaiian.com/privacy-policy (“Sponsor’s Privacy Policy“) for details regarding use of the personal information collected in connection with this Sweepstakes. The privacy policy applicable to information provided in connection with the Big Game Background Check will be made available at the time such information is requested for purposes of the Big Game Background Check.  In the event of any conflict between these Official Rules and Sponsor’s Privacy Policy and/or any other applicable privacy policy, these Official Rules shall control.  By participating, Entrant grants Sponsor permission to share Entrant’s email address and any other personally identifiable information with the corresponding Administrator solely for the purpose of Sweepstakes administration and fulfillment.
